
POP-UP FLORAL EVENT AGREEMENT
This Pop-Up Floral Event Agreement (“Agreement”) is entered into as of February 6, 2026, by and between:
Florist: Frè Flora, LLC (“Florist”) Represented by Diane Wade
and
Retailer: Stella Dallas Boutique (“Retailer”) Represented by Autumn Krisher
Collectively referred to as the “Parties.”
1. EVENT DETAILS
Event Name/Description: Valentine’s Day Pop-Up
Event Date(s): 02/13/26
Event Location: 213 W 2nd St, Austin, TX 78701
Event Hours: 12:00pm-4:00pm
2. SCOPE OF SERVICES
Florist shall design, supply, and provide fresh floral products for retail sale during the Event. Florist may also provide display styling and/or on-site selling services as agreed.
3. REVENUE SPLIT
Gross sales from floral products shall be split as follows:
• Florist: 100%
• Retailer: 0%
4. MINIMUM GUARANTEED PAYMENT
Retailer agrees to guarantee a minimum payment to Florist in the amount of $200 (“Minimum Guarantee”).
The Minimum Guarantee is intended to cover Florist’s direct costs of flowers, supplies, labor, and preparation for the Event.
If Florist’s share of gross sales does not equal or exceed the Minimum Guarantee, Retailer shall pay Florist the difference so that Florist receives no less than the Minimum Guarantee.
If Florist’s share of gross sales exceeds the Minimum Guarantee, Florist shall be paid based on the agreed revenue split.
5. PAYMENT TERMS
Payment shall be made within 14 days following the conclusion of the Event via cash, check, direct transfer, or electronic payment (Venmo, or digital pay link).
6. INVENTORY OWNERSHIP
All floral inventory, vessels, mechanics, tools, and display materials remain the property of Florist unless otherwise agreed in writing.
7. UNSOLD INVENTORY
At the conclusion of the Event, Florist may remove any unsold floral product at their discretion. Unsold inventory does not reduce or negate Retailer’s obligation to satisfy the Minimum Guarantee.
8. PRICING AUTHORITY
Florist retains sole authority over wholesale and retail pricing of floral products unless otherwise agreed in writing.
9. CANCELLATION
If Retailer cancels the Event within 5 days of the Event date, Retailer remains responsible for payment of the Minimum Guarantee.
10. LIABILITY
Each Party agrees to hold harmless the other from claims arising from their own negligence or misconduct.
11. INDEPENDENT CONTRACTORS
The Parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, or employment relationship.
12. GOVERNING LAW
This Agreement shall be governed by the laws of the State of Texas.
13. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the Parties and may be modified only in writing signed by both Parties.
